Welcome to TradingForms. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and TradingForms Ltd. ("TradingForms", "we", "our", or "us") governing your access to and use of our platform, website, and services.

By creating an account, clicking "I Agree," or otherwise accessing or using TradingForms, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference.

These Terms apply to all visitors, users, and others who access or use the Service. We reserve the right to update these Terms at any time with reasonable notice provided in accordance with Section 18.

To use TradingForms, you must meet the following eligibility requirements and comply with our registration process.

Eligibility Requirements

• You must be at least 18 years of age or the legal age of majority in your jurisdiction
• You must have the legal capacity to enter into a binding contract
• You must not be barred from receiving services under applicable law
• If registering on behalf of a company, you must have authority to bind that company
• You must not have had a TradingForms account previously terminated for violations

Account Responsibilities

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate
• Keep your password confidential and do not share it with third parties
• Notify us immediately of any unauthorized access to your account at support@tradingforms.com
• Accept full responsibility for all activities that occur under your account
• Use a strong, unique password and enable two-factor authentication where available

TradingForms provides a cloud-based document generation platform that enables businesses and individuals to create, manage, and download professional business documents.

Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access to the Service. We may suspend or restrict access to the Service or any part thereof for maintenance, security updates, or other operational reasons. We will provide reasonable advance notice where possible.

TradingForms reserves the right to modify, enhance, or discontinue any feature or aspect of the Service at any time. We will endeavor to notify users of material changes with reasonable advance notice.

TradingForms is designed to help legitimate businesses create professional documents. You agree to use the Service only for lawful purposes and in accordance with these Terms.

Permitted Uses

• Creating genuine business invoices, payslips, and quotations for your own business
• Generating documents on behalf of clients if you are an authorized service provider
• Downloading and distributing documents to your own clients and employees
• Integrating with our API for legitimate business automation purposes

Prohibited Conduct

You must NOT use TradingForms to:

• Create fraudulent, forged, or misleading documents intended to deceive any person or entity
• Generate documents for illegal business activities including money laundering or tax evasion
• Impersonate any person, business, or entity, including TradingForms
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service
• Use automated bots, scrapers, or scripts to access the Service without authorization
• Resell or sublicense access to the Service without our express written consent
• Upload malicious code, viruses, or harmful content to the platform
• Engage in spamming, phishing, or any unsolicited communications using our platform
• Circumvent any access controls, security measures, or usage limitations
• Use the Service in any way that violates applicable laws in your jurisdiction

The ownership and licensing of intellectual property is a critical aspect of our relationship. This section clearly defines what belongs to whom.

TradingForms Intellectual Property

TradingForms and its licensors own all right, title, and interest in and to the Service, including all software, algorithms, designs, templates, branding, trademarks, logos, text, graphics, and other content created by or for TradingForms. This includes but is not limited to:

• The TradingForms brand, logo, and visual identity
• All document templates and design assets created by our team
• Our proprietary document generation engine and algorithms
• Platform architecture, codebase, APIs, and technical infrastructure
• All documentation, guides, tutorials, and marketing materials

Your Content & License

You retain full ownership of all data, content, and documents you create using TradingForms ("User Content"), including your business information, client data, and generated documents.

Template License

We grant you a non-exclusive, non-transferable license to use our document templates to create business documents for your own use. You may not redistribute, resell, or claim ownership of TradingForms templates themselves, though the completed documents you generate are fully yours.

Both parties acknowledge that in connection with the use of TradingForms, each party may have access to confidential and proprietary information of the other.

Our Obligations to You

• We will maintain the confidentiality of your business data and client information
• We will not disclose your data to third parties except as outlined in our Privacy Policy
• We will implement and maintain commercially reasonable security measures to protect your data
• We will notify you of any confirmed data breach affecting your personal data within 72 hours of discovery
• We will process your data only for the purposes you have authorized

Your Obligations

• Keep your login credentials confidential and secure
• Ensure that any employee payroll data, client financial data, or other sensitive information you upload complies with applicable data protection laws
• Obtain necessary consents from your employees and clients before uploading their personal data to TradingForms
• Notify us promptly of any suspected unauthorized access to your account

Your use of TradingForms is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy.

We take data protection seriously and comply with applicable privacy laws including the General Data Protection Regulation (GDPR) for European users, and equivalent legislation in other jurisdictions.

Specific Disclaimers

• Tax & Legal Accuracy: TradingForms provides document generation tools, not professional tax or legal advice. Tax calculations are based on publicly available rate information and may not reflect your specific circumstances. Always verify with a qualified accountant or tax professional.
• Compliance: While we design documents to be professionally compliant, we cannot guarantee that generated documents will satisfy all legal requirements in every jurisdiction. You are responsible for ensuring compliance with applicable laws.
• Third-Party Services: We are not responsible for any third-party services, payment processors, or integrations that may interact with TradingForms.
• Data Accuracy: We are not liable for inaccuracies in documents resulting from incorrect information you have provided.
• Uptime: We do not guarantee uninterrupted access to the Service and are not liable for losses resulting from downtime.

To the maximum extent permitted by applicable law, TradingForms shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation lost profits, lost revenue, loss of data, or business interruption.

This limitation of liability applies regardless of the form of action (whether in contract, tort, strict liability, or otherwise) and even if TradingForms has been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

You agree to defend, indemnify, and hold harmless TradingForms, its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms or any applicable law or regulation
• Your User Content, including any claim that your content infringes third-party rights
• Your use of the Service in a manner not authorized by these Terms
• Your negligence, fraud, or willful misconduct
• Any false or misleading information you provide in connection with the Service
• Documents you create using TradingForms that violate any law or third-party right

TradingForms reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with our defense of such claims.

Either party may terminate the relationship as described below.

Termination by You

You may cancel your account at any time through your account settings or by contacting us at support@tradingforms.com. Upon cancellation: your subscription will remain active until the end of the current billing period, after which access will be downgraded to the free tier or terminated depending on your preference.

Termination by TradingForms

We reserve the right to suspend or terminate your account and access to the Service, with or without notice, if:

• You breach any provision of these Terms or our Acceptable Use Policy
• We are required to do so by law or legal authority
• Your account has been inactive for more than 24 months on a free plan
• You engage in fraudulent, abusive, or illegal conduct
• Continuing to provide the Service to you creates legal or reputational risk

Effect of Termination

• Your right to access the Service ceases immediately upon termination
• We will retain your data for 90 days post-termination for recovery purposes
• After 90 days, your data will be permanently deleted from our systems
• Download your documents before terminating your account
• Provisions of these Terms that by their nature should survive will survive termination

These Terms shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions.

Dispute Resolution

We believe most disputes can be resolved through good-faith communication. Before initiating any formal legal proceeding, you agree to first contact us at support@tradingforms.com and attempt to resolve the dispute informally for a period of 30 days.

Arbitration

If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be submitted to binding arbitration in accordance with the rules of the Nairobi Centre for International Arbitration (NCIA), before a single arbitrator. The language of arbitration shall be English.

The following general provisions apply to your use of TradingForms:

We reserve the right to modify these Terms at any time. The frequency and nature of changes will depend on legal requirements, service updates, and business developments.

How We Notify You

• We will update the Last Updated date at the top of this page
• For material changes, we will send an email notification to all registered users at least 30 days in advance
• A prominent notice will be displayed on our platform for at least 30 days following any material update
• For minor changes (corrections, clarifications), we may update the Terms without direct notification
• We will maintain an archive of previous versions of these Terms upon request
